Today it was announced that Shindaiwa Corporation (Shindaiwa) has entered into a business and shareholding alliance with Kioritz Corporation (Kioritz).
Shindaiwa and Kioritz, both publicly traded companies on the Tokyo Stock Exchange, are leading global manufacturers of premium outdoor power equipment including trimmers, chainsaws, power blowers, hedge clippers and related products.
At its March 20, 2007 meeting, the Board of Directors of Makita Corporation (“Makita”) decided to launch the tender offer for common shares of Fuji Robin Industries Ltd. (“Fuji Robin”; listed on the second section of the Tokyo Stock Exchange; code number 6021, hereafter, the “Target Company”). The tender offer began March 22, 2007, and ended May 7, 2007. This notice is to inform the public of the results of this tender offer, as follows.
We also wish to inform the public that as a result of the tender offer, Fuji Robin is to become a consolidated subsidiary of Makita.
The STIHL Group’s revenue exceeded the 2 billion euro mark for the first time in 2006. Group turnover grew to 2,019 billion euro, 11.4 per cent higher than the previous year’s thanks to increased sales. Currency fluctuations had only a slight, positive influence on the result. Chairman of the STIHL AG board, Dr Bertram Kandziora, said at the company’s results press conference on 24 April 2007: “This record is a significant achievement of the STIHL team worldwide in this, the 80th anniversary year of the company. We would like to thank all our employees for this outstanding collective effort.”
The STIHL Group began construction of its second Swiss chain production facility in Bronschhofen, in the canton of St. Gallen, with a symbolic groundbreaking ceremony on March 30. The company will be investing a total of SFR 160 million to build a new factory on the 20,000 square meter site. The first phase is scheduled to start production in mid-2008. About 200 new jobs will be created at that location.
Husqvarna has today signed a final agreement with Komatsu Zenoah Co. regarding acquisition of the outdoor power products operation within Komatsu Zenoah Co.
The acquisition is expected to be completed in the beginning of April 2007 subject to approval by the relevant authorities. The operation will be consolidated in the Group’s accounts within Professional Products. The purchase price is approximately JPY 18.2 billion (approximately USD 155m) on a debt-free basis.
Husqvarna has signed an agreement to acquire Klippo AB, the largest producer of petrol-driven walk-behind lawn mowers for the Swedish market.
Klippo’s product offering mainly includes walk-behind lawn mowers for professional users. In 2005, the company reported sales of approximately USD 20.5 m (140 MSEK) and operating income of approximately USD 3 m (20 MSEK). Sweden accounts for approximately two thirds of sales. The company has about 50 employees, and manufacturing is based in Sweden.
